OpenAI Abandons Planned For-Profit Conversion

OpenAI has announced it will no longer pursue its controversial plan to transition into a for-profit company.

Details:

• The decision comes after discussions with civic leaders and input from the attorneys general of Delaware and California, both of whom have oversight of the company’s nonprofit status and could have blocked its planned restructuring.

• Now, OpenAI’s nonprofit board will continue to oversee its commercial subsidiary, which is being converted from a capped for-profit business into a public benefit corporation (PBC), similar to Anthropic and xAI.

• Under the PBC model, investors and employees will hold traditional stock with no cap on its potential appreciation, making it easier for OpenAI to raise more money in the future, especially since the billions raised in its last two funding rounds were contingent on removing this limit.

With this, the highly controversial shift to for-profit status comes to an end—an effort that faced heavy criticism not only from competitors like xAI and Meta, but also from former OpenAI employees. You can read Altman’s full memo here for more details.

• Published in The New York Times, the letter emphasizes the need to include these subjects to ensure the United States remains competitive in the global race for technological leadership.

• It highlights that countries like China, South Korea, Brazil, and Singapore have already made AI and computer science mandatory in their schools, leaving the U.S. at risk of falling behind.

• CEOs stress the need to prepare future generations to become “creators” of AI technology rather than just consumers.

• Furthermore, they argue that this initiative could help close wage gaps, noting that just one high school computer science course can boost wages by 8%, regardless of a student’s career path.
